Terms of Service

These Terms of Service (“Terms”) govern your use of the NormaForm e-invoicing service (“Service”) provided by NormaForm (“we”, “us”, or “our”). By using the Service, you agree to be bound by these Terms.

1. Service Description

NormaForm is a web-based e-invoicing service that enables businesses to create, manage, and export invoices in EU-compliant electronic formats including ZUGFeRD, XRechnung, and FacturaE. The Service is designed for freelancers and small businesses operating in the European Union.

2. Account Registration

To use the Service, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account.

3. Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

  • Use the Service for any illegal or fraudulent activities, including the creation of false or misleading invoices
  • Attempt to access, tamper with, or use non-public areas of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to reverse engineer or extract the source code of the Service
  • Use the Service to infringe upon the rights of others

4. Invoice Data and Accuracy

You are solely responsible for the accuracy and legality of all invoice data you enter into the Service. While NormaForm generates technically compliant XML files according to published format specifications:

  • We do not verify the accuracy of amounts, VAT calculations, or business information you provide
  • We do not provide legal, tax, or accounting advice
  • You are responsible for compliance with applicable tax laws and regulations in your jurisdiction

5. Data Storage and Retention

All data is stored within the European Union (Frankfurt, Germany). We retain invoice data for 10 years in accordance with EU VAT Directive requirements. You can export your data at any time through your account settings.

6. Subscription and Payment

The Service offers both free and paid subscription tiers. For paid subscriptions:

  • Payment is processed securely through Stripe
  • Subscriptions are billed monthly in advance
  • You may cancel at any time; cancellation takes effect at the end of the current billing period
  • We do not provide refunds for partial months

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will provide reasonable notice of planned maintenance when possible.

8. Intellectual Property

The Service, including its design, features, and content (excluding your data), is owned by NormaForm and protected by intellectual property laws. You retain all rights to your data. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided “as is” without warranties of any kind
  • We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service
  • Our total liability for any claim shall not exceed the amount you paid for the Service in the 12 months preceding the claim

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold harmless NormaForm from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of significant changes that may affect your use of the Service.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice on the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

13. Termination

Either party may terminate this agreement at any time. You may delete your account through your account settings. We may terminate or suspend your account if you violate these Terms. Upon termination, you may export your data; after a reasonable period, we will delete your data except as required by law.

14. Governing Law and Disputes

These Terms are governed by the laws of Spain. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain, without prejudice to your rights under applicable consumer protection laws.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NormaForm regarding the use of the Service.
